Terms & Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the CostWise Talent website (the “Site”) and any services provided through it (collectively, the “Services”). By accessing or using the Site, you agree to be bound by these Terms and our [Privacy Policy]. If you do not agree, please refrain from using the Site.

1. Eligibility & Account Responsibility

1.1 You must be at least 18 years old and legally capable of entering into contracts.
1.2 You are responsible for all activity that occurs under your login credentials. Notify us immediately of any unauthorized use.

2. Use of the Site

2.1 You may use the Site only for lawful purposes and in accordance with these Terms.
2.2 You agree not to:

• Copy, distribute, or modify any part of the Site without prior written consent.

• Use automated means (bots, scripts, scrapers) to access the Site.

• Upload or transmit any malicious code or unsolicited advertising.

3. Services & Engagements

3.1 CostWise Talent connects client companies (“Clients”) with independent professionals (“Talent”) and may handle HR, payroll, and compliance on a Client’s behalf.
3.2 Specific roles, fees, and engagement terms will be detailed in a separate written agreement between CostWise Talent and each Client.
3.3 You acknowledge that Talent are independent contractors unless otherwise stated in writing.

4. Payments

4.1 Clients will be invoiced according to the pricing model set forth in the applicable service agreement.
4.2 Payments are due in U.S. dollars within the timeframe stated on each invoice. Late payments may incur interest at 1.5% per month (or the maximum allowed by law).
4.3 All fees are exclusive of any applicable taxes, duties, or withholdings, which are the Client’s responsibility.

5. Intellectual Property

5.1 All content, trademarks, logos, and software on the Site are owned by or licensed to CostWise Talent and protected by intellectual-property laws.
5.2 Clients receive only those usage rights expressly granted in writing.

6. Confidentiality

Both parties agree to keep confidential all non-public information disclosed in connection with the Services and to use such information solely for fulfilling contractual obligations.

7. Compliance & Data Protection

7.1 CostWise Talent will comply with applicable labor, privacy, and data-protection laws in the jurisdictions where it operates.
7.2 Clients are responsible for complying with all laws applicable to their use of the Services.

8. Disclaimers

8.1 The Site and Services are provided “as is” without warranties of any kind, express or implied.
8.2 We do not guarantee uninterrupted or error-free operation of the Site.

9. Limitation of Liability

To the fullest extent permitted by law, CostWise Talent shall not be liable for indirect, incidental, special, or consequential damages, even if advised of the possibility. Our total liability for any claim shall not exceed the total fees paid by the Client to CostWise Talent in the 12 months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless CostWise Talent, its affiliates, and their respective officers, directors, and employees from any claims, damages, or expenses arising out of your misuse of the Site or violation of these Terms.

11. Termination

11.1 We may suspend or terminate your access to the Site at any time for any breach of these Terms.
11.2 Sections 5–10 and 12 will survive termination.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute shall be resolved exclusively in the state or federal courts located in San Diego County, California, and you consent to that venue.

13. Changes to the Terms

We may update these Terms from time to time. Material changes will be posted on this page with a new effective date. Continued use of the Site after such changes constitutes acceptance.
